1. Scope

9. Confidentiality

  • 9.1 The supplier must keep all client information confidential and must not copy it, except to perform the services.

11. Payment

  • 11.1 The Firm pays undisputed invoices within 30 days of receipt.
  • 11.2 If the Firm pays an undisputed invoice late, the supplier may charge interest at 4% a year above the Bank of England base rate.

14. Termination

  • 14.1 Either party may end this agreement for a material breach that is not remedied within 14 days of written notice.
  • 14.2 Either party may end this agreement by giving 30 days' written notice, served by email and by recorded post to the address in Schedule 1.
  • 14.3 During the first 12 months of the agreement, the notice period in clause 14.2 is 60 days.

16. Return of data

  • 16.1 Within 10 working days of termination, the supplier must return or securely delete all client data and confirm this in writing.
